ORBREX INC. IT Voucher Sales Terms and Conditions

These Terms and Conditions (“Terms”) govern the sale and subsequent use of information technology vouchers (“Vouchers”) offered by ORBREX INC., hereinafter referred to as “the Company”, to any individual or entity (“Client”). By proceeding with the purchase or redemption of a Voucher, the Client expressly agrees to be bound by and comply with these Terms in their entirety.

1.1. Validity Period. Each Voucher shall be valid for a period of twelve (12) months from the date of issuance, or for the specific validity period explicitly stated on the Voucher or by the Company at the time of purchase, whichever is earlier.

1.2. Expiration Policy. Vouchers that have exceeded their stated validity period are considered expired. Expired Vouchers are strictly non-refundable and cannot be extended or reinstated under any circumstances.

2.1. Currency and Price Changes. All prices for Vouchers are quoted in Philippine Peso (Php). The Company reserves the unilateral right to adjust prices at any time without prior notification to the Client.

2.2. Promotional Offers. Any offered promotional discounts or special offers are valid exclusively for the stipulated duration of the promotion. Unless explicitly stated otherwise in the promotion’s terms, discounts cannot be combined with other offers.

2.3. Applicable Taxes. The price of the Voucher includes all applicable taxes, such as VAT, in compliance with prevailing Philippine laws and regulations, or as explicitly advertised by the Company as “VAT inclusive.” The final tax calculation will be displayed to the Client at checkout, unless the Company issues a written notification stating otherwise.

3.1. Requirement for Full Prepayment. Except in cases where the Client has been approved for an installment plan (as detailed in Section 4), the Voucher will only be issued upon the Company’s receipt of full and cleared payment of the total purchase price.

3.2. Payment via PayPal. The Client has the option to remit payment through the PayPal platform.

The Client shall bear sole responsibility for any and all transaction fees, payment processing charges, or currency conversion costs imposed by PayPal or any intermediary financial institution.

The total amount due, which will include the purchase price plus any applicable PayPal fees, shall be clearly disclosed to the Client prior to the final checkout and payment confirmation.

3.3. Payment Clearing The client using Paypal payment shall be made 20 days prior to the scheduled exam since Paypal requires 14-day clearing period.

The client using Bank Transfer, payments shall be made at least 10 days prior to the scheduled exam since Bank transaction requires at least 3-5 days clearing period.

4.1. Availability and Approval. The Company may offer a ten (10) month installment payment plan for select Vouchers. Participation in this plan is subject to the Company’s sole discretion and prior credit approval.

4.2. Payment Schedule. The first installment payment is mandatory at the time of purchase. Subsequent installment payments are due on a monthly basis according to the schedule provided to the Client upon approval.

4.3. Consequences of Non-Payment. Failure by the Client to remit scheduled installment payments by their due date constitutes a material breach of these Terms and may result in the following actions:

Suspension or Immediate Revocation of the purchased Voucher.

Imposition of additional late payment charges as determined by the Company.

Initiation of appropriate legal collection procedures to recover outstanding balances.

5.1. Supersession of Prior Agreements. These Terms represent the entire agreement between the Client and the Company regarding the sale and use of Vouchers and supersede all prior agreements, negotiations, representations, or communications, whether written or oral.

5.2. Right to Amend. The Company reserves the exclusive and unconditional right to amend, modify, or revise these Terms at any time without providing prior individual notice to the Client.

5.3. Effectiveness of Amendments. Any such changes to the Terms shall become effective immediately upon their publication on the Company’s official website or through other designated communication channels. Continued use or attempted redemption of a Voucher following the posting of amended Terms constitutes the Client’s acceptance of the revised Terms.

6.1. Permitted Cancellation Window. An order for a Voucher may be cancelled only within forty-eight (48) hours of the initial purchase and is strictly contingent upon the Voucher not yet having been formally issued or generated by the Company.

6.2. Non-Cancellable Orders. Once a Voucher has been officially issued, generated, or digitally accessed by the Client, the order is deemed final and becomes non-cancellable and non-refundable.

6.3. Refusal of Late Cancellations. Cancellation requests submitted after the 48-hour window, or subsequent to the Voucher’s issuance, will not be honored.

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without giving effect to any principles of conflicts of law. The Client consents to the exclusive jurisdiction of the courts located in Philippines for the resolution of any disputes arising out of or relating to these Terms.
